Draft under legal review — see the highlighted placeholders below and the team's decisions doc. Not yet final.
These Terms of Service ("Terms") govern your use of the FoodieNet mobile app and admin dashboard (together, the "Service"), operated by [PENDING — legal operator name, company number, registered office and jurisdiction once incorporated — or the identity of whoever operates the Service if the pilot runs before then], trading as FoodieNet ("we", "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, please don't use the Service.
FoodieNet operates a platform connecting food content creators with restaurants for content collaborations. Four roles appear in a collaboration:
A creator–restaurant collaboration becomes binding when FoodieNet approves the creator's application to a specific offer, at which point the offer's own stated conditions (visit window, deliverables, deadlines) apply alongside these Terms. If anything in an offer's specific conditions conflicts with these Terms, the offer's conditions take priority for that collaboration only.
Before you apply, each offer states: the visit window and expected duration, how many guests are covered, what food and drink is included, any spend limit and who's responsible for amounts over it (including service charge and travel), which platform(s) and content format are required (Reel, TikTok, or either), and any posting/proof-submission deadline. Review this before applying — applying and being approved reserves one of your available collab slots until the collaboration is completed, rejected, cancelled, or expires.
[PENDING — specific notice periods, what counts as a no-show, and whether any penalty applies — these need deciding before publishing; nothing is assumed here]. If a restaurant can't honour an approved booking, or a creator has a genuine reason they can't attend, please use the in-app reporting or messaging tools as early as possible so the booking can be rescheduled or released.
Restaurants (or whoever manages their account) review submitted proof against the offer's stated deliverables and may approve or reject it with a reason. A rejection must be based on the stated deliverables not being met — not on disliking a truthful opinion expressed in the content, and not on demanding a more favourable review than the creator's genuine experience. If your proof is rejected, you'll be given the reason and a reasonable opportunity to correct it before the collaboration is closed out. [PENDING — formal escalation/appeal process if a creator and restaurant can't resolve a rejection between them — currently handled case-by-case by FoodieNet's team].
You retain ownership of the content you create. Separately, you grant:
Accepting a collaboration does not, by itself, grant FoodieNet or a restaurant the right to use your content in paid advertising, boosted posts, or other commercial promotion. Any such use requires your separate, explicit agreement — and, where applicable, separately agreed payment — before it happens. [PENDING — exact licence terms for FoodieNet's own promotional use of creator content (duration, territory, credit, editing rights, sublicensing), and what happens to any granted licence when an account is deleted — not yet decided]. Where a restaurant supplies its own assets (e.g. a logo or photos) for use on the Service, equivalent terms apply in reverse. Any music or other third-party material in your content may carry its own separate restrictions that you're responsible for complying with.
Collaboration content is incentivised (you receive complimentary hospitality in exchange for posting) and must be clearly and prominently disclosed as an ad — for example using your platform's paid-partnership label, in addition to any collaborator tag. A collaborator tag or the word "gifted" alone is not sufficient disclosure on its own. Content must reflect your genuine experience; restaurants must not request hidden advertising, a fabricated review, or misleading claims.
You must not: impersonate another person or business, engage in harassment or abusive behaviour toward restaurants or other users, misuse another user's personal information, or engage in fake engagement (e.g. fabricated reviews, purchased followers or likes relevant to a collaboration). If you encounter a restaurant listing or a team message that violates these standards, please report it using the in-app reporting tool. We review reports and may remove content, suspend, or terminate an account; for a serious or urgent issue (e.g. a safety concern) we may act immediately, before completing a full review. [PENDING — formal appeal process for a suspension/termination decision — not yet defined].
[PENDING — FoodieNet does not currently charge restaurants for participation — no pricing, billing, or subscription terms exist yet. This section will be completed, including price/VAT, billing frequency, renewal, cancellation, refunds, and the position for agency-managed restaurants (including SABA-managed ones), before any charge is introduced].
You can delete your account at any time from Profile → Delete account in the app. This removes your personal information (name, phone, handles, location, profile photo, portfolio links) and cancels any active collaborations; it can't be undone. Deleting your account doesn't cancel any collaboration obligation you've already completed or that's still owed at the time of deletion. See our Privacy Policy for what's retained and why.
The Service is provided "as is". We don't guarantee that offers will always be available, that a given restaurant or creator will meet your expectations, or that the Service will be uninterrupted or error-free. Nothing in these Terms excludes or limits any liability, or any statutory right, that can't legally be excluded or limited — including rights you have as a consumer, where applicable. Subject to that, [PENDING — liability wording to be reviewed by a solicitor for FoodieNet's actual platform role and user types — not every creator is necessarily a business user], we aren't liable for indirect, incidental, or consequential losses arising from your use of the Service.
If you have a complaint about the Service, please contact us using the details below and we'll aim to resolve it directly. These Terms are governed by [PENDING — governing law and jurisdiction — to be confirmed once the operating entity is established], subject to any mandatory consumer protections that apply in your country of residence regardless of this choice.
If we make a material change to these Terms, we'll tell you directly — for example by in-app notice or email — before or at the time it takes effect, not just by updating the date above. A collaboration you've already agreed to keeps the terms that applied when you agreed to it, unless we both agree to a change.
